TradeXecutor Global Master Terms of Service 1. Global Access & Eligibility TradeXecutor is a globally accessible software platform. Users from any jurisdiction may access the platform at their own initiative and are solely responsible for compliance with local laws. Users must be at least 18 years old and legally permitted to engage in trading activities in their jurisdiction. 2. Nature of Platform (Software Only) TradeXecutor functions solely as a trade execution infrastructure platform that transmits user-defined trading instructions to authorized broker integrations via OAuth authorization. While users may configure external systems that automate the generation of those instructions, TradeXecutor does not provide automated trading strategies, signals, or discretionary trade management. TradeXecutor does NOT provide brokerage services, custody services, discretionary trading, financial advice, portfolio management, investment advisory services, or trade recommendations. 3. No Registration / No Fiduciary Duty (Global) TradeXecutor is not registered with the SEC, CFTC, NFA, FINRA, OSC, ESMA, FCA, DFSA, MAS, or any regulatory body worldwide. No fiduciary relationship is created between TradeXecutor and any user. 4. Extreme Risk Disclosure (Futures, Crypto, Leverage) Trading futures, derivatives, margin products, leveraged instruments, and cryptocurrencies involves substantial and extreme risk. Users acknowledge they may lose all capital, incur rapid losses, and experience market volatility beyond historical precedent. 5. Automation & AI System Risk Automated systems may malfunction, duplicate trades, fail to transmit, miscalculate, or execute at unintended prices. TradeXecutor makes no guarantees regarding latency, uptime, execution quality, or signal reliability. 6. Trade Copying & Multi-Broker Risk Trade copying across multiple brokers may result in execution price variations, slippage differences, partial fills, or failed orders. TradeXecutor does not guarantee synchronized execution across accounts. 7. Third-Party Infrastructure Risk Platform performance depends on AWS infrastructure, broker systems, exchange infrastructure, internet connectivity, and third-party services. TradeXecutor is not responsible for outages, token expiration, API failures, exchange halts, or regulatory shutdowns. 8. Limitation of Liability (Maximum Shield) TradeXecutor is provided 'AS IS' and 'AS AVAILABLE' without warranties of any kind. Under no circumstance shall total liability exceed the lesser of USD $100 or subscription fees paid in the previous 30 days. No liability for indirect, incidental, consequential, punitive, speculative, regulatory, or reputational damages. 9. Indemnification Users agree to indemnify and hold harmless TradeXecutor from any claims arising from trading losses, regulatory actions, tax consequences, broker disputes, or misuse of the platform. 10. Arbitration & Class Action Waiver All disputes shall be resolved through binding arbitration seated in Ontario, Canada. Users waive any right to participate in class actions, collective actions, or representative proceedings. 11. Force Majeure TradeXecutor shall not be liable for failure to perform due to events beyond reasonable control including natural disasters, war, cyberattacks, exchange failures, government intervention, or regulatory bans. 12. Governing Law These Terms shall be governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. TradeXecutor Service Level Agreement (SLA) Service Availability TradeXecutor is provided on an 'AS IS' and 'AS AVAILABLE' basis. No uptime, latency, execution speed, or performance guarantees are provided. Maintenance & Interruptions Scheduled or unscheduled maintenance may occur at any time without liability. No credits or refunds are provided for downtime. No Trading Performance Guarantee TradeXecutor does not guarantee trade execution accuracy, slippage control, or signal delivery timing. TradeXecutor API & Broker Dependency Disclosure Third-Party Dependency TradeXecutor relies on broker APIs and exchange systems beyond its control. OAuth token expiration, API changes, or broker restrictions may interrupt functionality. No Control Over Broker Actions TradeXecutor is not responsible for margin calls, liquidations, rejected orders, or broker-imposed limitations. TradeXecutor Licensing & IP Protection Agreement Intellectual Property All software, branding, source code, and automation logic remain sole property of TradeXecutor. License Grant Subscription grants a limited, non-transferable, revocable license to use the platform. Resale & Redistribution Prohibited Users may not resell, sublicense, or white-label the software without written authorization. TradeXecutor Account Termination & Suspension Policy Right to Terminate TradeXecutor reserves the right to suspend or terminate accounts at any time without notice. Termination may occur for policy violations, suspected abuse, regulatory risk, or payment disputes. Effect of Termination Upon termination, OAuth permissions may be revoked and platform access disabled immediately. TradeXecutor Chargeback & Payment Dispute Policy Digital Service Notice TradeXecutor provides digital subscription services. Access to the platform constitutes delivery of service. Fraudulent Disputes Fraudulent chargebacks may result in permanent account suspension and recovery actions. TradeXecutor Backtesting & Performance Disclaimer Hypothetical Performance Warning Backtested or simulated performance results are hypothetical and do not represent actual trading. Past performance is not indicative of future results. Execution Variables Live trading results may vary due to slippage, liquidity, latency, or broker-specific execution differences.
